General Business Practice

We offer clients services in strategic business planning, entity formation, acquisitions, mergers, reorganizations, and capitalizations/financings in connection with privately held corporations, limited liability companies, partnerships and joint ventures. In representing start-up companies, we have developed significant expertise in shareholder agreements, employment agreements, personal services/consulting agreements, sales representative agreements, distribution agreements, marketing agreements, master sales agreements, standard terms and conditions for purchase orders and invoices, and various forms of technology licensing agreements. We have also handled numerous projects in connection with the purchase and sale of major computer systems and large-scale personal property transactions. We have also formed numerous non-profit corporations, obtained their tax-exempt status, and provided counseling on operational issues, including the effect of unrelated business activities on their tax-exempt status.

Real Estate Practice

Our real estate services include the purchase and sale of unimproved and improved properties ranging in price from a million dollars to 70 million dollars. These transactions have involved the drafting and negotiation of the purchase and sale agreement, the coordination and implementation of due diligence investigations (including environmental issues), the negotiation of financing documents, the review and negotiation of title insurance coverages, and the coordination of the closing. Through our representation of developers of commercial projects, we have gained expertise in design and construction issues, entitlements and leasing.
